Terms of Use, Newsletter Editor

1. GENERAL PROVISIONS

The IROC© website (hereinafter, the "Site") is the property of IROC, a simplified joint-stock company, registered with the Paris Trade and Companies Register and whose registered office is located in Paris (hereinafter, "IROC").

2. DEFINITIONS

"ToU" refers to these general terms and conditions of use of the Site applicable to Users.

"Account" refers to the account opened by any User from which the Site's Services are accessible.

"Services" refers to all the services and functionalities accessible from the Site and offered by IROC.

"Site" refers to the platform published and operated by IROC. The Site includes all computer components (including software and computer developments and Web pages, including source and object code programs, preparatory design work, specifications, and preliminary studies, user documentation relating to the use and operation of the website), the graphic charter (including projects, models, prototypes and plans), the infrastructure as well as the content (including texts, sounds, still or animated images, videos and databases).

"User" refers to any person who has created an Account for professional & individual purposes, whose identifiers have been transmitted by IROC, and who accesses and uses the Services.

3. PURPOSE / BENEFITS OF THE SERVICES

IROC has developed an ecosystem of solutions helping researchers in their daily work, to accelerate research, consisting of different tools:

  • Literature review work: reading, sorting, grouping data from literature to summarize it, searching for data in literature
  • PDF QA: Reading and answering your questions from a document you provide
  • Analysis: Analyzing experimental data to propose an analysis and next steps
  • Redaction: From figures of your choice, or from text, drafting an abstract, article or complete review, poster, or grant application
  • Editor: From a document to review given by the user, a complete analysis is performed on data quality and impact relative to science
  • Notebook: Classification of notes, transfer to electronic laboratory notebook possible
  • Marketplace: Indexes & groups products the researcher needs, and automates quote requests
  • Applications: Platform grouping conferences, journals, jobs and grants

In this context, IROC makes the Site available to Users, allowing access to the Services described above.

Subject to compliance with the ToU, the User acknowledges that IROC grants them a limited, non-exclusive license, which cannot be sublicensed, revocable and non-transferable to access and use the Site.

Important:

No institution, laboratory, structure or person is authorized to use and/or share the IROC product, without the written consent of Nolwenn Morris, as president of IROC. It is forbidden to exploit, directly or indirectly, the IROC product. Furthermore, no institution, laboratory, or any type of structure or person can claim intellectual property rights over it.

The ToU apply, among others, to professionals, that is to say "any natural or legal person, public or private, who acts for purposes within the scope of their commercial, industrial, artisanal, liberal or agricultural activity, including when they act in the name or on behalf of another professional" within the meaning of the Consumer Code.

4. ENFORCEABILITY

The purpose of the ToU is to define the terms and conditions under which Users access and use the Services.

The ToU are systematically brought to the attention of Users to enable them to access and use the Services.

They apply exclusively to all use of the Services and prevail over all other conditions, except those expressly accepted by IROC. Consequently, any other conditions only bind IROC after written confirmation from it.

IMPORTANT: NOTE TO USERS

ANY USE OF THE SERVICES IMPLIES EXPRESS, PRIOR, FULL AND COMPLETE ACCEPTANCE BY THE USER OF THE ToU, BY CHECKING THE BOX: "I acknowledge having read and understood the ToU and I accept them" AND BY ACCEPTING THEM DURING REGISTRATION, THE USER ACKNOWLEDGES THAT THEY ARE BOUND BY ALL THE ToU.

5. PREREQUISITES FOR USE OF THE SERVICES (Technical Requirements)

To use the Services, Users must:

  • have a computer, smartphone and/or tablet, connected to an internet network, up to date, with the latest version compatible with the platform;
  • access the Site;
  • have an internet connection;
  • create an Account according to the procedures provided in Article 7 hereof.

Users guarantee that they have full legal capacity to register and use the Services and in particular:

  • be of legal age;
  • not be a competitor of IROC and/or not register and use the Services for the purpose of competing with IROC fraudulently and/or in a manner detrimental to IROC's interests;
  • have full possession of their intellectual or cognitive faculties (and in particular not be in a state of dependency, under guardianship and/or under curatorship...).

IROC cannot be held responsible in the event of registration and use of the Services by persons who do not meet the conditions provided for in this article.

6. DURATION OF ACCESS TO SERVICES AND SERVICE INTERRUPTION

6.1 Access and availability

IROC implements all reasonable means at its disposal to ensure quality access to the Services. The Services are accessible via the Site seven (7) days a week and twenty-four (24) hours a day. However, due to the nature of the Internet, IROC does not guarantee operation and access to the Services seven (7) days a week and twenty-four (24) hours a day.

They are accessible until the User decides to terminate them and/or deactivates their Account according to the procedures provided in Article 7.3 of the ToU.

IROC cannot be held responsible for the deterioration or loss of data due to a malfunction of networks or any other reason beyond its control.

6.2 Maintenance and interruptions

IROC reserves the right to interrupt the operation of the Site and/or all or part of the Services at any time, with or without notification, in particular for the purpose of ensuring corrective and evolving maintenance thereof. Whenever possible, IROC will inform Users prior to a maintenance operation.

Users are invited to inform IROC of any technical problem encountered via nolwenn.morris@iroc.app. Users can submit requests Monday to Friday from 9:30 AM to 6:30 PM and a first response will be provided by email within a maximum of two (2) business days from receipt of the request.

7. ACCOUNT CREATION

7.1 Preamble

To benefit from the Services, Users must have an Account, having subscribed to an IROC subscription.

To create an Account, the User must authenticate either with Google account registration systems or via the following personal information: surname(s), first name(s), email, identification password.

7.2 Identification

IROC will inform the User of the creation of their Account by email. The Account is protected by an identifier (email address) and a password that the User can modify upon receipt of the notification. The password is personal and confidential.

In case of suspected fraudulent use, they must notify IROC at nolwenn.morris@iroc.app.

7.3 Use

The Account remains active as long as the User is registered and uses the Services, after having paid the invoice and started the subscription. In case of non-payment or non-renewal of the subscription, access is deactivated until full payment or contract renewal.

7.4 Account Deactivation and Deletion

The User can request deactivation of their Account by writing to nolwenn.morris@iroc.app. However, the contract ends on the subscription end date. The ToU apply until the end of the subscription.

The User can request deletion of their Account by writing to nolwenn.morris@iroc.app or by deleting their account on the platform. Deletion is permanent (data deleted) from the end of the subscription.

7.5 Account Access Prohibition

IROC may suspend or delete access to the Site/Services or the Account, without notice, in particular in case of non-compliance with the ToU, non-compliance with prerequisites (Article 5), delivery of erroneous information, acts likely to harm IROC's interests, or if required by law.

8. CONDITIONS AND TERMS OF USE OF THE SERVICES

IROC makes available Services offering data from literature accessible to the researcher. Any result from data processing offered by IROC's Services is the property of the researcher.

The User acknowledges and accepts that IROC is not the publisher of the articles.

The User is solely responsible for the information they introduce on the platform. As such, the User confirms having all rights related to the elements placed on the platform in order to use IROC tools.

IROC does not use data introduced into IROC tools by the user, nor results obtained via the platform, nor for training its artificial intelligence models. IROC hosts data in Europe/European Union (France, Belgium), via third-party providers.

9. WARRANTIES, OBLIGATIONS AND LIABILITY OF USERS

9.1 General commitments

  • access the Services in good faith and in accordance with the ToU;
  • not commercialize the Services and/or access to the Services;
  • not authorize third parties to use their Account;
  • not reuse all or part of the Services for unauthorized commercial or personal purposes.

9.2 Strictly prohibited uses

  • illegal, fraudulent activities or infringing on the rights of third parties;
  • violation of public order or laws;
  • intrusion or attempted intrusion into a computer system;
  • sending unsolicited emails;
  • manipulation aimed at improving the referencing of a third-party site;
  • more generally, any practice misusing the Services;
  • copying/misappropriating the concept, technologies or any element of the Site;
  • behaviors interrupting or degrading the Services; intrusions into IROC's systems; violations of security measures.

9.3 User Responsibilities

Users are solely responsible for choosing to use the Services, securing their system and backups. They guarantee and indemnify IROC against any damage resulting from a violation of the ToU.

9.4 IROC's Measures in Case of Breach

  • interruption or suspension of all or part of the Site/Services;
  • suspension or termination of the Account without notice;
  • publication of an information message;
  • information to competent authorities;
  • legal action.

No compensation can be claimed in case of suspension. The User remains liable for amounts due until the end of the subscribed period.

10. IROC'S LIABILITY AND WARRANTY

The User expressly accepts that IROC cannot be held liable for direct, indirect, incidental, special, accidental, consequential or punitive damages, as well as any loss of profits or revenues, that may be incurred by the User, directly or indirectly related to:

  • access to or use of the Services;
  • the User's inability to access or use the Services;
  • any behavior or content submitted, published or posted on the Site;
  • any unauthorized access, use or alteration of the User's transmissions.

IROC does not guarantee that the Services will be totally free of errors, defects or faults, nor that they will specifically meet the needs of a given User. IROC's liability is limited to proven direct damages only.

11. INTELLECTUAL PROPERTY

11.1 Scope of Rights

All elements (including code, editorial content, illustrations, studies and videos) appearing on the Site and/or in the Services are protected by intellectual property laws and are the exclusive property of IROC. The ToU do not entail any transfer of IROC's intellectual property rights.

11.2 License of Use

IROC grants Users, on a personal basis, the non-exclusive and non-transferable right, subject to subscription, to use the Site and/or Services and any associated software. It is forbidden to copy, modify, create derivative works, reverse engineer, sell, assign, sublicense or transfer any rights relating to the Site/Services or software.

11.6 Newsletter

When IROC sends newsletters to its users, IROC has the capacity of publisher. The publication director is Nolwenn Morris.

12. PERSONAL DATA

In accordance with the "Informatique et Libertés" law and the GDPR, IROC processes personal data of Users automatically for the purposes of using the Services and managing commercial relationships.

Each User has the rights of access, modification, rectification, limitation, portability and deletion, as well as a right of opposition. Contact: nolwenn.morris@iroc.app.

13. ADVERTISING

IROC reserves the right to insert advertising or promotional messages on any page of the Site. IROC is free to market the Site's advertising space to advertisers of its choice.

14. COMMERCIAL REFERENCE

The User authorizes IROC, subject to express refusal, to use their name, logo, brand(s) and/or any other distinctive sign as a commercial reference, on any communication medium, during the duration of use of the Services and for a period of one (1) year following the end of their Subscription.

15. THIRD-PARTY LINKS AND SITES

When using the Site, Users may be directed to third-party sites. IROC is not responsible for the content or information provided by third parties. IROC exercises no control over hyperlinks and/or other promotional formats.

16. EVIDENCE

Files, data and messages recorded in IROC's computer systems will be admitted as proof of acts and facts occurring between IROC and Subscribers.

17. MODIFICATION OF THE ToU

17.1 IROC reserves the right to modify the ToU at any time to take into account any legal, jurisprudential, editorial, functional and/or technical evolution of the Site and/or Services. The prevailing version is the one accessible online on the day of use of the Site and/or Services.

17.2 The ToU are updated regularly; Users are invited to consult them at each visit.

17.3 Any modification is applicable fifteen (15) days after notification by email.

17.4 In case of disagreement, the User undertakes to stop accessing the Site and using the Services and to request deletion of their Account at nolwenn.morris@iroc.app.

18. DURATION AND TERMINATION OF THE ToU

18.1 Duration — Access and use of the Services are valid for the duration of the service from subscription (according to the offer).

18.2 Termination — Users can disengage from the ToU (i) by notifying IROC by email, or (ii) by deleting/deactivating their Account (Article 7) and this will be effective from the end of the contract. IROC may terminate without notice in case of non-compliance with the ToU or if required by law.

19. MISCELLANEOUS PROVISIONS

19.1 The ToU constitute the entire agreement between Users and IROC.

19.2 In case of contradiction between the ToU and other elements on the Site, the ToU shall prevail.

19.3 The language of interpretation of the ToU is French.

19.4 If one or more provisions of the ToU are held invalid, the others shall retain their full force and effect.

19.5 No tolerance shall be interpreted as a waiver of a right.

19.6 Files, data and messages recorded in IROC's systems will be admitted as proof.

20. APPLICABLE LAW AND DISPUTES

20.1 The use of the Site and Services is subject to French law. The validity, execution and interpretation of the ToU are also subject to French law.

20.2 For any difficulty or question, Users are invited to contact customer service at nolwenn.morris@iroc.app.

20.3 In case of disagreement, the aggrieved Party informs the other by registered letter with acknowledgment of receipt. Within fifteen (15) days, an amicable solution must be proposed. This mediation attempt is a condition of admissibility before any legal action.

20.4 In case of failure, any dispute relating to the Site, interpretation or execution of the ToU shall be submitted to the courts of Paris, even in case of warranty appeal or plurality of defendants.

22. EFFECTIVE DATE

The ToU come into effect on 01/01/2023.
